1. Introduction

Welcome to PanamaRE ("PanamaRE", the "Platform", "we", "our", or "us"), a real estate technology platform operated by InmoTech Panamá.

These Terms of Service govern your access to and use of the PanamaRE website, software, applications, services, tools, subscriptions, and related features.

By accessing, registering for, or using the Platform, you agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not use the Platform.

2. Nature of the Platform

PanamaRE is a technology platform that allows approved real estate professionals, real estate agencies, property developers, and other authorized industry participants to publish and manage property listings and access digital marketing and management tools.

PanamaRE does not act as a real estate broker, real estate agency, attorney, financial advisor, appraiser, lender, escrow provider, property manager, or representative in any real estate transaction.

PanamaRE is not a party to any transaction conducted between buyers, sellers, landlords, tenants, developers, agents, agencies, or other users of the Platform.

3. User Accounts

Certain features of the Platform require the creation of a user account.

By creating an account, you agree to:

Provide accurate, complete, and current information.
Maintain and promptly update your account information.
Protect the confidentiality of your login credentials.
Accept responsibility for all activities conducted under your account.

You must immediately notify PanamaRE of any unauthorized access, suspected security breach, or misuse of your account.

4. User Eligibility and Verification

PanamaRE's listing and subscription services are intended exclusively for licensed real estate agents, licensed real estate brokers, real estate agencies, property developers, and other approved real estate industry participants.

Creating an account or submitting a registration request does not guarantee approval.

PanamaRE reserves the right to approve or deny any registration request at its sole discretion.

By registering with the Platform, you represent and warrant that you possess all licenses, permits, registrations, authorizations, and legal qualifications required to conduct your professional activities.

PanamaRE may request licenses, certifications, government-issued identification, business registration documents, or any other information reasonably necessary to verify a user's identity and eligibility.

PanamaRE may reject, suspend, restrict, or terminate any account that:

Fails to meet eligibility requirements.
Provides false, incomplete, or misleading information.
Fails verification procedures.
Violates these Terms of Service or Platform policies.

Approval of an account does not constitute a certification, endorsement, guarantee, or continuing verification of a user's qualifications, licensing status, legal authority, or professional standing.

5. Property Listings and User Content

Users are solely responsible for all content submitted, uploaded, published, displayed, or distributed through the Platform, including but not limited to:

Property listings.
Photographs.
Videos.
Property descriptions.
Pricing information.
Contact information.
Marketing materials.

By publishing content on the Platform, you represent and warrant that:

You have the legal right to publish such content.
The information provided is accurate, current, and not misleading.
The content does not infringe any third-party rights.
The content complies with all applicable laws and regulations.

Although PanamaRE may conduct limited verification procedures or request supporting documentation, PanamaRE does not guarantee the ongoing accuracy, validity, or status of any licenses, certifications, authorizations, credentials, property ownership claims, or information provided by users.

Users remain solely responsible for maintaining all licenses, registrations, permits, and legal requirements necessary to conduct their professional activities.

While PanamaRE may review listings for compliance with Platform policies, PanamaRE does not independently verify every listing and does not guarantee the accuracy, completeness, legality, ownership status, availability, or suitability of any property advertised on the Platform.

Users and visitors are responsible for conducting their own due diligence before entering into any transaction or agreement.

6. Subscription Services and Billing

Certain services are offered through paid subscription plans.

By purchasing a subscription, you agree that:

Subscription fees are billed in advance.
Subscriptions may automatically renew unless canceled before the renewal date.
You authorize recurring charges associated with your selected plan.
Pricing may be modified upon reasonable notice.

You are responsible for maintaining valid payment information.

Subscription fees are non-refundable except as expressly provided in the Refund Policy.

7. Refund Policy

Refund requests and subscription cancellations are governed by the Refund Policy published on the Platform.

By purchasing a subscription, you acknowledge and agree to the Refund Policy.

8. Prohibited Activities

Users may not:

Publish false, fraudulent, deceptive, or misleading listings.
Impersonate another individual or business.
Upload content that infringes intellectual property rights.
Attempt unauthorized access to the Platform.
Distribute malware, viruses, or malicious code.
Interfere with the operation or security of the Platform.
Use automated systems to scrape, collect, or harvest data without authorization.
Violate any applicable law or regulation.

9. Intellectual Property

All software, technology, trademarks, logos, databases, designs, branding, content, and intellectual property associated with PanamaRE are owned by or licensed to InmoTech Panamá and are protected by applicable laws.

Users retain ownership of content submitted to the Platform while granting PanamaRE a non-exclusive, worldwide, royalty-free license to display, reproduce, distribute, and promote such content in connection with operating and marketing the Platform.

10. Service Availability

PanamaRE does not guarantee uninterrupted, secure, or error-free operation of the Platform.

The Platform may become unavailable due to maintenance, software updates, hosting provider issues, internet outages, cybersecurity incidents, force majeure events, power failures, or circumstances beyond our reasonable control.

PanamaRE shall not be liable for temporary interruptions, delays, service outages, data loss, or disruptions resulting from such events.

11. Third-Party Services

The Platform may integrate with or provide access to third-party services, payment processors, mapping providers, analytics providers, advertising networks, and other external services.

PanamaRE is not responsible for the availability, security, accuracy, content, or practices of any thirdparty service.

12. Limitation of Liability

To the fullest extent permitted by law, PanamaRE and InmoTech Panamá shall not be liable for:

Errors or inaccuracies in listings.
Loss of profits or revenue.
Loss of business opportunities.
Data loss.
Service interruptions.
Unauthorized access to accounts.
Transactions conducted between users and third parties.
Indirect, incidental, special, consequential, or punitive damages.

Your use of the Platform is entirely at your own risk.

13. Indemnification

You agree to defend, indemnify, and hold harmless PanamaRE, InmoTech Panamá, its officers, directors, employees, contractors, affiliates, and partners from any claims, liabilities, damages, losses, costs, or expenses arising from:

Your use of the Platform.
Your listings or content.
Your violation of these Terms.
Your violation of applicable laws or third-party rights.

14. Right to Reject, Moderate, and Remove Content

PanamaRE reserves the right, but not the obligation, to review, moderate, reject, edit, suspend, unpublish, or remove any listing, image, advertisement, account, or content whenever it reasonably determines that:

The content is false, misleading, fraudulent, or deceptive.
The information is inaccurate, outdated, or incomplete.
The content violates these Terms.
The content violates applicable laws or regulations.
The content infringes intellectual property rights or third-party rights.
The content negatively affects the quality, integrity, security, or reputation of the Platform.
The user fails to satisfy or maintain eligibility requirements.
There is a reasonable suspicion of fraudulent, abusive, or unlawful activity.

PanamaRE may exercise these rights with or without prior notice.

The rejection, suspension, removal, or termination of content or accounts shall not create any entitlement to compensation, damages, or reimbursement.

15. Account Suspension and Termination

PanamaRE may suspend or terminate accounts that fail eligibility verification, lose required licensing, provide false information, engage in prohibited activities, or otherwise violate these Terms.

Termination or suspension of an account shall not automatically entitle the user to any refund except where required by applicable law or expressly provided in the Refund Policy.

16. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis.

PanamaRE disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

17. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Panama.

Any dispute arising from these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Panama.

18. Changes to These Terms

PanamaRE may update these Terms at any time.

Continued use of the Platform following publication of updated Terms constitutes acceptance of the revised Terms.
